Draft — subject to legal review

Terms of Service

These terms govern your use of the uncrack green-coffee auction platform. The key point every bidder should read is the Bidding Terms in section 2: confirmed bids are binding.

1. Account & review

uncrack is a business-to-business auction platform for green coffee. Accounts are limited to companies and professionals in the coffee trade, and every new account goes through a manual review before bidding, lot submission, or show management is enabled.

You agree to provide accurate company and contact information during sign-up and to keep it up to date. We may decline, suspend, or revoke an account when the information provided is inaccurate, incomplete, or misleading.

You are responsible for keeping your login credentials confidential. Activity performed under your account — including bids placed with your paddle number — is treated as your own.

2. Bidding & winner commitment

All bids are placed in USD per kilogram unless a show states otherwise. By placing a bid you represent that you are authorized to commit your company to the purchase at that price.

Confirmed bids are binding. If you are the highest bidder when a lot closes, you are committed to complete the purchase of that lot at your winning price — this is the winner-commitment policy at the core of the platform.

Failure to settle a won lot within the stated settlement window may result in the award being cancelled, your account being suspended, and your company being excluded from future shows.

Auto-bids act on your behalf up to the maximum you set; a bid executed by the auto-bid system is treated the same as a bid you placed manually.

3. Sample boxes

Where a show offers pre-auction sample boxes, samples are provided for evaluation only and remain representative of the lot at the time of sampling, not a guarantee of the delivered quality.

Sample requests may be limited per account and per show. Shipping fees for sample boxes, where charged, are non-refundable.

Analytical data shown alongside a lot (NIR components, taste-potential axes, cupping scores) is provided in good faith as decision support and does not replace your own evaluation of the sample.

4. Settlement & shipping

After a show closes, winning buyers receive settlement instructions for each awarded lot. Payment is due within the window stated in the award notice.

Shipping terms, export documentation, and delivery timelines are agreed between the buyer and the exporter running the show; uncrack facilitates the auction and settlement records but is not a party to the freight contract.

Title and risk in the coffee pass according to the agreed shipping terms. Claims about delivered quality must be raised with the exporter within a reasonable period after receipt.

5. Data & privacy

We collect the company and contact details you provide, your bidding and settlement history, and technical logs needed to operate the platform securely.

Your data is used to run reviews, auctions, and settlement, and to notify you about activity relevant to your account. We do not sell your personal data to third parties.

Aggregated, non-identifying auction statistics (for example, average prices per origin) may be published as market insight. You may request deletion of your account and associated personal data, subject to records we must keep for completed transactions.
